3. Project Scope
Clients are responsible for reviewing and approving the scope of work before a project begins.
Any service, feature, page, integration, functionality, revision, or deliverable that falls outside the agreed scope may be treated as additional work.
Additional work may require additional fees, a revised quotation, a new invoice, a revised project timeline, or a separate agreement.
Shopify Prof is not required to perform work outside an agreed project scope without additional approval.
-
4. Client Responsibilities
Clients agree to provide all information, materials, credentials, feedback, and approvals reasonably required to complete a project.
This may include Shopify access, website access, domain credentials, hosting credentials, product information, pricing, written content, images, branding assets, policies, application credentials, payment gateway information, shipping information, analytics access, and marketing account access.
Clients are responsible for ensuring that information provided to Shopify Prof is complete and accurate.
Delays in providing required information, approvals, materials, or access may result in project delays.
-
5. Client Content and Materials
Clients are responsible for ensuring that they have the legal right to use all content and materials supplied to Shopify Prof.
This includes logos, images, videos, product photography, written copy, fonts, trademarks, product descriptions, business names, designs, software, customer information, and other intellectual property.
By providing materials to Shopify Prof, the client grants us permission to use those materials as reasonably necessary to complete the project.
The client remains responsible for intellectual property claims relating to unauthorized materials supplied by the client.
-
6. Intellectual Property and Ownership
Unless otherwise stated in writing, ownership of final custom deliverables created specifically for a client will transfer to the client after all outstanding amounts relating to the applicable project have been paid in full.
Shopify Prof may retain ownership of internal processes, general development methods, reusable code, frameworks, libraries, development tools, general templates, internal systems, preliminary concepts, unused concepts, proprietary processes, and materials developed independently of the client project.
Third-party themes, plugins, applications, fonts, software, stock assets, APIs, and licensed materials remain subject to the terms and licenses of their respective owners.
-
7. Pricing and Payments
Service pricing may be presented through website packages, proposals, quotes, invoices, contracts, statements of work, or written agreements.
Clients agree to pay fees according to the payment terms associated with their project.
Shopify Prof may require full advance payment, a deposit, milestone payments, recurring payments, or final payment before project transfer or launch.
Work may be paused if required payments are not received when due.
Final files, website transfers, deployments, administrative credentials, or ownership rights may be withheld until outstanding project balances are paid.
-
8. Refund Policy
Because Shopify Prof provides professional digital services and allocates resources once work begins, payments may become non-refundable after work has commenced.
Refund eligibility, where applicable, may depend on work already completed, time spent, project resources allocated, services already provided, approved project milestones, third-party expenses, and applicable written agreements.
Fees paid for third-party services are generally non-refundable unless the applicable provider issues a refund. These may include Shopify subscriptions, apps, plugins, domains, hosting, stock assets, software licenses, advertising spend, payment processing fees, and third-party subscriptions.
Any specific refund or satisfaction guarantee advertised with a package is subject to the conditions applicable to that offer.
-
9. Revisions
Projects may include revisions according to the applicable package, proposal, or agreement.
Revision requests must remain reasonably consistent with the originally approved scope and project direction.
A revision does not generally include a completely new concept, a major change in strategy, additional pages, new functionality, new applications, new integrations, new services, or work unrelated to the original scope.
Such requests may be treated as additional work.
-
10. Project Timelines
Any estimated timeline or delivery date is based on the project requirements and information available at the time the estimate is provided.
Project timelines may be affected by client feedback, approval delays, missing content, missing credentials, changes in scope, technical complications, Shopify platform changes, third-party applications, third-party APIs, hosting services, payment providers, and events outside our reasonable control.
Unless expressly guaranteed in a written agreement, delivery dates are estimates.
-
11. Project Approval
Clients are responsible for reviewing deliverables and providing feedback within a reasonable period.
Once a design, page, feature, project stage, or final project has been approved, requests to materially change an approved item may be considered additional work.
-
12. Third-Party Platforms
Our services may depend upon third-party platforms and technologies, including Shopify, Google, Meta, payment gateways, hosting companies, domain providers, applications, plugins, APIs, analytics platforms, and advertising networks.
Shopify Prof does not control third-party services and cannot guarantee their availability, pricing, policies, security, compatibility, performance, or continued functionality.
We are not responsible for outages, suspensions, policy changes, pricing changes, technical failures, or other actions caused by third-party providers.
-
13. Shopify Platform
Shopify Prof is an independent service provider.
We do not control decisions made by Shopify Inc., including those involving Shopify account approval, Shopify account suspension, payment holds, Shopify Payments, Shopify policies, Shopify pricing, Shopify features, Shopify applications, platform availability, or platform updates.
Clients remain subject to Shopify's own terms, policies, and requirements.
-
14. Third-Party Applications
Certain Shopify stores may require third-party applications, subscriptions, plugins, extensions, or external services.
Unless otherwise stated in writing, clients are responsible for associated third-party fees.
Shopify Prof cannot guarantee that a third-party application will remain available, compatible, supported, at the same price, or unchanged.
Future third-party updates may require additional development work.
-
15. Search Engine Optimization
Shopify Prof may provide SEO-related services designed to improve website structure, technical setup, visibility, and search performance.
However, search engines independently determine rankings.
We do not guarantee first-page rankings, specific keyword positions, specific traffic levels, a particular ranking timeframe, or permanent search visibility.
Search performance may be affected by algorithm changes, competition, website modifications, market conditions, and other factors outside our control.
-
16. Advertising and Marketing
Shopify Prof may provide paid advertising, social media, SEM, marketing, analytics, or campaign management services.
Unless specifically included in writing, advertising spend paid to Google, Meta, TikTok, Microsoft, or other advertising platforms is separate from Shopify Prof's professional fees.
Advertising platforms independently control ad approval, account approval, ad costs, campaign delivery, account suspension, and policy enforcement.
Shopify Prof does not guarantee a specific number of sales, number of leads, cost per acquisition, return on advertising spend, conversion rate, or revenue amount.
-
17. Business Results
Shopify Prof provides professional services intended to help improve a client's eCommerce presence, website experience, technical infrastructure, marketing, or digital operations.
However, business results depend on many factors beyond our control.
We do not guarantee specific revenue, sales, profits, customer numbers, leads, website traffic, conversion rates, search rankings, advertising results, or market performance.
Factors such as competition, pricing, inventory, product quality, demand, customer behavior, advertising budgets, economic conditions, and market trends can influence results.
-
18. Maintenance and Support
Unless ongoing maintenance or support is expressly included in a package or agreement, Shopify Prof is not responsible for continuously maintaining or updating a client's website or Shopify store after project completion.
Future updates, repairs, maintenance, content changes, new features, application updates, or technical support may require additional fees.
-
19. Website Compatibility
We make reasonable efforts to build websites compatible with commonly used modern browsers and devices.
However, we cannot guarantee compatibility with outdated browsers, unsupported devices, deprecated software, future browser versions, future operating system changes, future Shopify changes, or third-party code modifications.
-
20. Credentials and Account Security
Clients are responsible for protecting their usernames, passwords, authentication methods, and account access.
Shopify Prof recommends using strong passwords, unique credentials, two-factor authentication, and restricted administrative access.
We are not responsible for unauthorized access caused by compromised client credentials or security practices outside our control.
-
21. Data and Backups
Clients are encouraged to maintain backups of important product information, website content, customer records, images, files, business information, and other digital assets.
Shopify Prof is not responsible for permanent data loss resulting from third-party services, platform errors, hosting failures, unauthorized access, or events outside our reasonable control.
-
22. Portfolio and Promotional Use
Unless otherwise agreed in writing, Shopify Prof may display completed public-facing work for portfolio and promotional purposes.
This may include use on our website, portfolio pages, social media, sales presentations, marketing materials, and case studies.
We will not intentionally disclose confidential client information through portfolio use.
Clients requiring confidentiality should notify Shopify Prof before the project begins or enter into a separate confidentiality agreement.
-
23. Confidentiality
Shopify Prof will use reasonable care when handling confidential client information.
Confidential information generally does not include information that is publicly available, was already lawfully known, is independently developed, is lawfully obtained from another source, or must be disclosed under applicable law.
Separate nondisclosure agreements may be used where additional confidentiality requirements are needed.
-
24. Prohibited Use
You may not use the Shopify Prof website or our services for illegal activities, fraud, distribution of malware, unauthorized system access, intellectual property infringement, impersonation, deceptive activities, harassment, activities prohibited by applicable platforms, or activities that may damage our website, systems, reputation, or business.
We reserve the right to decline, suspend, or terminate services involving prohibited activities.
-
25. Suspension and Termination
Shopify Prof may suspend or terminate services where reasonably necessary due to nonpayment, fraud, abuse, harassment, illegal activity, material breach of an agreement, security concerns, or repeated failure to provide necessary cooperation.
Termination does not remove the client's responsibility to pay amounts due for completed work or approved third-party expenses.
-
26. Disclaimer of Warranties
To the extent permitted by law, our website and services are provided without warranties beyond those expressly stated in a written agreement.
Shopify Prof does not warrant that the website will always be available, services will always be uninterrupted, third-party services will remain available, all technical issues can be prevented, or business results will meet a particular target.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
-
27. Limitation of Liability
To the fullest extent permitted by applicable law, Shopify Prof will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to our website or services.
This may include losses involving revenue, profits, sales, customers, data, business opportunities, website traffic, search rankings, advertising results, or business interruption.
To the extent permitted by law, Shopify Prof's total liability arising from a particular project or service will not exceed the amount actually paid to Shopify Prof for the specific service giving rise to the claim.
Some jurisdictions may not permit certain limitations, so certain provisions may not apply in all situations.
-
28. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Shopify Prof and its owners, employees, contractors, representatives, and service providers from claims, liabilities, losses, damages, and reasonable expenses arising from your breach of these Terms, your misuse of our services, materials supplied by you, your violation of applicable laws, or your infringement of third-party rights.
-
29. Force Majeure
Shopify Prof will not be responsible for delays or failures caused by circumstances outside our reasonable control.
These may include natural disasters, internet failures, power outages, hosting outages, cyberattacks, government actions, labor disruptions, wars, platform outages, third-party service interruptions, and other unforeseen events.
-
30. Governing Law and Disputes
These Terms will be governed by the laws applicable to Shopify Prof's principal place of business, without regard to conflict-of-law principles.
Where permitted by applicable law, disputes arising from these Terms or Shopify Prof's services will be brought before the appropriate courts having jurisdiction over Shopify Prof's principal place of business.
If a separate written client agreement contains a specific governing-law or dispute-resolution provision, that provision will control for that project.
-
31. Changes to These Terms
Shopify Prof may update these Terms periodically to reflect changes in services, business practices, website functionality, technology, or legal requirements.
Updated Terms will be published on our website with a revised "Last Updated" date.
Continued use of the website after updated Terms are published constitutes acceptance of the revised Terms.
-
32. Entire Agreement
These Terms, together with any applicable proposal, contract, invoice, statement of work, order, Privacy Policy, or written agreement, constitute the agreement applicable to your relationship with Shopify Prof.
If a signed written agreement directly conflicts with these general website Terms, the signed agreement will control for the applicable project to the extent of the conflict.
-
33. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
-
34. No Waiver
Failure by Shopify Prof to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.
